We make reasonable efforts to keep content accurate but cannot guarantee all details remain current.
Service Engagement
All project work — including software development, web design, IT support, digital marketing,
payment integration, CMS builds, and e-learning portal development — is governed by a written
proposal, statement of work (SOW), or signed service agreement.
- Work begins once scope is agreed, the SOW is signed, and any required kickoff payment is received.
- Change requests outside the agreed scope may affect pricing, timeline, and delivery order.
- Timely client feedback and approvals are essential to maintaining project schedules.
- We follow agile methodologies with regular sprint demos and stakeholder reviews.
Payments & Billing
Invoices are issued according to the agreed engagement model — fixed-scope, milestone-based,
monthly retainer, or phased delivery. All payment terms are confirmed in the project agreement.
- Late payments may delay ongoing work or the release of final deliverables and source code.
- Third-party costs (hosting, domains, SSL certificates, API subscriptions, software licenses) are billed separately unless explicitly included in the agreement.
- Payment methods include bank transfer, M-Pesa, and international payment options (Stripe, PayPal).
- Questions about invoices should be raised within 7 business days of receipt.
Intellectual Property & Ownership
Upon full payment of all agreed project fees, ownership of custom deliverables (code, designs,
content created specifically for the client) transfers as described in the project agreement.
AKASHTECH retains ownership of its proprietary frameworks, internal tools, reusable
components, and methodologies unless explicitly assigned in writing. Open-source components
remain governed by their respective licenses.
Client-provided materials (logos, branding, text, media, data) remain the client's property.
Clients warrant they have the right to use all materials they provide.
Confidentiality
Both parties agree to keep confidential information private. This includes business strategies,
technical architecture, credentials, pricing, and any proprietary data shared during the engagement.
Confidentiality obligations survive the termination of any agreement for a period of two (2) years.
We may list the client as a reference (company name and industry only) unless the client opts out in writing.
Limitation of Liability
We deliver professional-quality work, but no software system can be guaranteed to be
uninterrupted or error-free. Clients should maintain their own backups, disaster recovery
procedures, and operational controls.
To the extent permitted by applicable law, liability is limited to the total value of the relevant
paid service engagement. Neither party is responsible for indirect or consequential losses, including
lost revenue, missed opportunities, or data loss beyond the direct scope of the work.
Termination
Either party may terminate a service agreement with 30 days' written notice. Upon termination:
- Client pays for all work completed up to the termination date.
- AKASHTECH delivers all completed work product and documentation.
- Confidentiality obligations remain in effect per the agreement terms.
- Prepaid amounts for uncompleted work may be refunded per our Refund Policy.
Governing Law
These terms are governed by the laws of the Republic of Kenya. Any disputes arising from these
terms or a service engagement shall first be addressed through good-faith negotiation. If
unresolved, disputes shall be submitted to arbitration in San Jose, CA 95134, United States.
